Job Description:
This job is responsible for providing legal counsel on executive compensation, employee benefits, and related compensation, employment, and benefits matters across the enterprise, including advice on products, services, and legal matters impacting the company. Key responsibilities include reviewing and drafting legal contracts and documents, conducting legal research, and providing guidance to business partners on legal and regulatory requirements while identifying and mitigating legal risk. Job expectations include representing the company in legal actions, as appropriate, and typically requires a minimum of six years of experience practicing law following admission to the Bar.
Responsibilities:
- Analyzes legal issues and implications on matters related to corporate functions
- Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
- Interprets rulings, laws, and regulations
- Drafts, reviews, and/or negotiates complex legal documents, such as regulatory filings, engagement letters, offering documents, and legal opinions
- Gathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inference
- Supports company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigation
- Directs the work of outside legal counsel, and may coordinate the work of other Legal staff such as Paralegals, and trains, mentors, or supports the development of peers
- Provides legal support for executive compensation programs and arrangements, including incentive compensation, equity awards, executive employment matters, and related compensation governance activities
- Advises on legal and regulatory requirements applicable to executive compensation disclosures and reporting obligations, including proxy statement disclosures, securities law requirements, and insider reporting matters
- Provides legal counsel regarding employee benefit plans and compensation-related programs, including qualified and nonqualified retirement plans, health and welfare plans, cafeteria plans, fringe benefits, executive perquisites, and global compensation compliance requirements
Required Qualifications:
- Admitted to state bar in good standing.
- 5+ years experience practicing in the area of compensation and benefits.
- Experience with relevant SEC disclosure rules and IRC provisions
- Experience with ERISA and qualified and nonqualified plans.
- Experience with executive offer letters and separation agreements
- Ability to work collaboratively on a solutions-focused self-directed team.
- Ability to work effectively with all levels of the organization.
- Strong project management skills.
Desired Qualifications:
- 7+ years experience practicing in the area of compensation and benefits with an executive compensation focus.
- Knowledge of executive compensation issues related to the financial services industry.
- Experience with publicly traded companies.
- International compensation and benefits experience.
