Responsibilities

  • Support the origination and execution of investment banking transaction mandates for large-cap corporate and non-public clients across all Software sub-verticals, including buy- and sellside M&A, cross-border transactions, and capital markets processes (debt and equity offerings).

  • Conduct industry analysis to support clients’ strategic positioning and evaluate strategic alternatives.

  • Prepare detailed financial analyses, including leveraged buyout (LBO) models, discounted cash flow (DCF), accretion/dilution, comparable company analysis, and sum-ofparts valuation.

  • Coordinate with internal and external stakeholders on client coverage, origination, and transaction execution.

  • Draft and negotiate engagement letters, confidentiality agreements, and other transaction-related documentation.

  • Support internal transaction and capital commitment committee processes, including Equity Commitment Committee and Leveraged Finance Committee reviews.

  • Develop and maintain deep expertise in Software industry trends, competitive dynamics, and emerging technologies to advise clients on strategic opportunities.

  • Develop strong working relationships with Software client teams to facilitate smooth execution and identify opportunities for future engagement.

  • Provide guidance and support to analysts and associates, fostering their professional development and contributing to overall team success.

  • Remote work may be permitted within a commutable distance from the worksite.

Required Skills & Experience

  • Master's degree or equivalent in Management, Business Administration, Finance, Economics, or related: and

  • 3 years of experience in the job offered or a related Finance occupation.

  • Must include 3 years of experience in each of the following:

  • Global bank/bulge bracket investment banking transactions;

  • Executing investment banking transactions and processes in a global firm environment, including both M&A and capital markets products;

  • Preparing financial analysis, including detailed valuation analysis, such as: LBO analysis, discounted cash flow, accretion and dilution, IPO pro forma analysis, comparative company analysis, and sum of parts analysis;

  • Conducting due diligence in connection with investment banking transactions;

  • Preparing materials for clients and participating in client meetings during the course of investment banking deal origination and execution; and,

  • Collaborating with teams of bankers to drive transaction execution, develop client materials, and ensure smooth management of deal processes.

  • In the alternative, the employer will accept a Bachelor's degree and 5 years of progressively responsible experience.

  • 20% domestic and international travel required, as necessary.

$275,000.00 - $275,000.00 annualized salary, offers to be determined based on experience, education and skill set.
