Responsibilities

  • Support the origination of investment banking transaction mandates for middle market and emerging growth clients such as: buy and sell-side M&A, inclusive of cross-border transactions, as well as capital markets processes, including debt and equity offerings.

  • Oversee analysts and associates on client coverage, origination and transaction execution teams.

  • Draft and negotiate engagement letters, confidentiality agreements and other documents related to investment banking transactions.

  • Attend and oversee client meetings with prospective buyers in sell-side M&A processes.

  • Assist in the preparation of fairness opinions, including providing industry expertise and guidance on the selection of appropriate comparable companies and comparable acquisitions.

  • Assist in the preparation of marketing materials and registration documents for capital markets transactions, including providing final approval of these materials for the bank.

  • Review financial models and lead due diligence sessions.

  • Remote work may be permitted within a commutable distance from the worksite.

Required Skills & Experience

  • Bachelor's degree or equivalent in Finance, Economics, Statistics, Business Administration, or related: and

  • 7 years of progressively responsible experience in the job offered or a related Finance occupation.

  • Must include 7 years of experience in each of the following:

  • Executing investment banking transactions and processing in a global firm environment across both M&A and capital markets products;

  • Preparing financial analysis and valuation including LBO modeling, discounted cash flow analysis, accretion and dilution, IPO pro forma modeling, comparative company and precedent transaction analysis, and sum of parts valuation using financial modeling best practices;

  • Reviewing financial, commercial, legal, taxation due diligence findings and incorporating these into valuation analysis and company positioning materials;

  • Preparing marketing and deal origination materials with updates on the macroeconomic environment, equity and debt markets and M&A landscape;

  • Researching, peer benchmarking and developing strategic ideas including bolt-on acquisitions, mergers and capital raise;

  • Preparing materials including board materials, CIMs, company teasers and management presentations; and,

  • Reviewing and providing input into transaction documentation including share purchase agreements, shareholder agreements, loan agreements and offer memorandums.

  • 15% domestic travel required, as necessary.

  • The employer will accept 2 years of Finance experience in lieu of a degree in a stated field.

$350,000.00 - $350,000.00 annualized salary, offers to be determined based on experience, education and skill set.

Discretionary incentive eligible
