Your background

  • 5 – 10 years of PQE law firm and/or internal counsel experience in the financial services industry, including the cash management business, trade services, trade finance, corporate credit cards and/or banknotes;

  • Extensive exposure to application of banking laws, rules and regulations and how such LRR impact GTS services.

  • Strong organizational, drafting and negotiation skills.

  • The ability to communicate clearly, both verbally and in writing, in English at all levels within the organization, including being able to make and communicate difficult decisions to appropriate persons within the organization.  Verbal and written knowledge of other Asian languages considered a plus.

  • Strong work ethic and self-initiative, with the ability to manage a high volume of work in a fast-paced and changing environment.

  • The ability to effectively balance risk and reward and to be a strategic partner with clients to help them achieve their business objectives with an appropriate risk/reward balance.

  • Strong interpersonal skills with the ability to work well as part of a team with other lawyers (both internal and external), clients, and other risk and business support partners.

What you can expect

The successful candidate will be invited to join Bank of America’s Legal Department as a member of the Global Transaction Services (“GTS”) Asia Pacific (“APAC”) Legal Team (“Team”).

The Team provides legal support to the rapidly expanding GTS Sales and Product Teams as well as Business Support and Risk Partners in APAC.  The GTS line of business offers clients (i) GTS products and services in the eleven countries in Asia wherein Bank of America, N.A. (“BANA”) maintains branch offices and in Malaysia wherein BANA operates through a banking subsidiary, and (ii) GTS-related products and services in non-presence countries wherein such products and services are offered cross-border or through alliance banks.

GTS APAC offers four main product lines:  (i) global corporate cash/treasury/liquidity management services, (ii) global trade services and trade finance, (iii) global corporate card services, and (iv) wholesale banknotes.

In APAC, the GTS clients are US, European and Asian multinational companies and financial institutions (bank and non-bank) and their APAC branch offices, subsidiaries and affiliates; regional and indigenous large corporate; governments; and international organizations.

What you will do

The primary responsibility is to provide high quality and responsive legal advice to GTS APAC in respect of corporate client negotiations, structuring of new products and services, modification/customization of existing products and services and related documentation to clients’ requirements, development of documentation for existing and new product offerings and services, legal and regulatory issues arising out of the provision of global and regional payment and treasury services; preparation, review, revisions and negotiation of related credit support documentation, e.g. parent guarantees, non-standard bank guarantees, and standby letters of credit.

This lawyer will work in particular to support (a) the Contract Management group with client negotiations and documentation requirements and (b) the GTS APAC Product officers in their roll out of new products, by providing sophisticated and practical risk-appropriate advice and liaising with other internal and external lawyers, as necessary.

Responsibilities will also include:

  • dealing with queries from the line of business and risk partners on a range of client onboarding-, transaction- and operations-related issues, including Compliance, Credit, Risk Management, Contract Management, Customer Services, Fulfillment and Operations;

  • reviewing and advising on marketing materials, publications, and other communications for internal and external use and distribution;

  • liaising with the Litigation group as needed to address disputes and litigation matters involving clients and vendors as well as internal investigations;

  • acting as strategic partner to the business; and

  • sharing know-how with other members of the APAC Legal and the Global GTS Legal Teams.
