Job Description:
This job is responsible for providing legal counsel on products, services, and regulatory matters related to the Global Banking and Global Markets businesses. Key responsibilities include reviewing legal documents, interpreting laws and regulations, performing legal research, and communicating legal advice to internal partners. Job expectations include directing the work of outside counsel on related matters and coordinating the work of Paralegals or other Legal staff.

This job is responsible for the analysis of complex legal issues and their implications on matters of significant impact to the business. Key responsibilities include providing practical legal advice regarding products, services, clients, contracts, or transactions, coordinating the work of outside legal counsel, and identifying and escalating legal risks.

Candidate will provide legal representation and support for fixed income structured products for Global Markets business, including structured finance and asset-based financing structures.

• Provide legal advice to the businesses engaged in structured finance products, primarily structured repo financing and asset-backed lending.
• Provide regulatory advice regarding margin rules and broker dealer regulation relating to such products.
• Follow and help implement regulatory and legal changes for products.
• Coordinate with outside counsel and the business with respect to upkeep of form documentation and bank regulatory and internal requirements.    

Responsibilities:

• Analyzes legal issues and implications on products, services, and regulatory matters related to the Global Banking and Global Markets businesses
• Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
• Interprets rulings, laws, and regulations from a compliance and business control standpoint
• Drafts, reviews, and/or negotiates complex legal documents, such as engagement letters, debt agreements, offering documents, and legal opinions
• Gathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inference
• Supports company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigation
• Directs the work of outside legal counsel and may coordinate the work of other Legal staff such as Paralegals and trains, mentors, or supports the development of peers

Required Qualifications:

• Familiarity with fixed income structured products
• Familiarity with structured repo and asset-backed lending arrangements
• Experience with US securities rules

Desired Qualifications:

• 4 years plus experience at major law firm, bank, or similar institutional experience.
• Familiarity with some institutional broker-dealer and banking businesses and products (e.g., fixed income sales and trading, structured products, and asset-back securities.
• Candidate should be a self-starter, quick learner and must be able to work independently and proactively.
• Candidate should be someone who can handle multiple complex assignments and navigate a large institution.

Minimum Education Requirement: Doctorate degree in related field

Pay and benefits information

Pay range

$175,000.00 - $259,500.00 annualized salary, offers to be determined based on experience, education and skill set.

Discretionary incentive eligible

This role is eligible to participate in the annual discretionary plan. Employees are eligible for an annual discretionary award based on their overall individual performance results and behaviors, the performance and contributions of their line of business and/or group; and the overall success of the Company.
