Job Description:
Bank of America in São Paulo, Brazil, is seeking a proactive banking, regulatory & financial product lawyer to provide sound and responsive legal support to the GPS business in respect of a full range of transactional, legal and regulatory matters, arising out of global and regional payments, treasury and trade services, liquidity & receivables products, banking and finance regulations, digital legal issues, trade & supply chain finance, SBLCs/LCs, pre-export and import lending, export credit notes, bank credit notes, guarantees, card products, and international and cross-border financings. Draft and review legal contracts and documents. Directly, or through interns, conducts legal research. Individuals in this position typically have a minimum of 12 years of legal experience in banking and finance matters with a JD and this job is intended for attorney with a valid license to practice law in São Paulo, Brazil. Demonstrated experience working on Brazilian payments and trade transactions, advising product teams and a solid understanding of local laws, regulations and rules impacting the above products and services. Ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits. Fluent English and Portuguese required (Spanish a plus). Candidates should be agile, resilient, strategic thinkers with ability to influence and develop trusted relationships with clients and team members. Strong analytical and pragmatic problem-solving skills. Assertive, takes ownership in overcoming setbacks and failure, guided by integrity and a deep sense of purpose. Able to effectively prioritize in real time and to manage multiple tasks and operate in a multi-jurisdictional environment.
Responsibilities:
The primary responsibilities are to provide sound and responsive legal advice to the GPS business in respect of a full range of transactional, legal and regulatory matters, arising out of global and regional payments, treasury and trade services, liquidity & receivables products, banking and finance regulations, digital legal issues, trade & supply chain finance, SBLCs/LCs, pre-export and import lending, export credit notes, bank credit notes, guarantees, card products, and international and cross-border financings.;
Provide timely and practical legal advice, as well as strategic guidance across the Bank, on client negotiations of standard global and local contracts, new product offerings, innovative technology, payments/receivables/financial laws and regulations, instant payments (Pix), Open Finance, payments schemes, digital wallets, payment institution licensing, CBDC, payment gateways, credit and debit card settlements, merchant acquiring, account and electronic services documentation and liquidity contracts, supply chain finance, trade matters (SBLC/LC, loans, export credit notes);
Review, update, standardize and draft relevant contractual documentation for GPS products and services, particularly with respect to new products, customized agreements and credit support documentation;
Work in partnership with GPS business, product and cross-functional teams, including Risk, GFC, Compliance and Enterprise Credit to simplify the roll out of new products and to develop, enhance and implement any new legal, regulatory and business initiatives affecting GPS, providing sophisticated and practical risk-appropriate advice, in a manner that is consistent with Bank of America’s guidelines, policies, risk frameworks and applicable laws, rules and regulations;
Dealing with inquiries from the business, including Risk Management, Contract Management and Operations on a range of payment and operations-related issues, working closely with other internal and external lawyers, as necessary;
Proactively identify, escalate and debate risks, operational matters and customer complaints, partnering with the head of Latin America GPS legal and the head of Brazil legal department;
Liaise with the Litigation and the Regulatory Investigations Group, as needed, to address investigations, disputes and litigation matters;
Working closely with other internal lawyers and Compliance to review and advise on publications and other communications for internal and external use;
Engage and manage outside counsel, as needed.
Skills:
A solid understanding of Brazilian banking laws, regulations and rules impacting the above products and services, including, but not limited to Cash Management, Trade Finance and Guaranties;
Licensure in Brazil is required;
Fluent English and Portuguese required (Spanish a plus).
Candidates should have excellent academic credentials and extensive law firm and/or in-house experience in handling similar matters as described above, including advising clients in the payment/financial services, internet and technology industries, commercial and operational payments and trade & supply chain experience;
Candidates should be agile, resilient, strategic thinkers with ability to influence and develop trusted relationships with clients and team members, must work well under pressure, be able to manage multiple tasks and operate in a multi-jurisdictional environment;
Strong work ethic, self-initiative and creative, with the ability to manage a high volume of work in a fast-paced and changing environment.
