Job Description

The Attorney/Assistant General Counsel & Director is part of the Asia Pacific Legal Group. The role will be responsible for providing legal analysis and advice to the Global Corporate and Investment Bank in Asia Pacific regarding loan transactions and related areas as part of the global International Loans Legal team (and in particular, providing primary coverage for our Indian corporate loan transactions and loan portfolio). 

The role is also responsible to provide high quality and responsive legal advice to GTS India in respect of corporate client negotiations, structuring of new products and services, modification/customization of existing products and new product offerings and services, legal and regulatory issues arising out of the provision of global and regional payment and treasury services; preparation, review, revisions and negotiation of related credit support documentation, e.g. parent guarantees, non-standard bank guarantees, and standby letters of credit. This lawyer will work in particular to support (a) the Contract Management group with Indian client negotiations and documentation requirements, (b) the GTS India Product officers in their roll out of new products, by providing sophisticated and practical risk-appropriate advice and liaising with other internal and external lawyers, as necessary, (c) all GTS credit facility requests in India.

This role will primarily provide legal advice with respect to India credit facilities and India Global Transaction Services (GTS) matters and may also provide legal advice with respect to regional credit facilities and GTS matters.

Responsibilities

Global Corporate and Investment Bank Lending

  • Syndicated and bilateral loan transactions, including credit, arrangement and agency
  • Loan related restructuring and insolvency
  • Licensing, regulatory and market risk related to lending business and loan transactions
  • External counsel management
  • Various regional and global projects to support growth and operation of the lending business in APAC
  • Escalating, advising and updating senior management on material transactions and other matters
  • Ensuring adherence to global and local policies and procedures which impact the lending business in APAC
  • Co-working with compliance and other departments to keep the proper governance and control of the business units in place
  • Other Global Corporate and Investment Banking activities

Global Transaction Services

  • Dealing with queries from the line of business and risk partners on a range of client onboarding-, transaction- and operations-related issues, including Compliance, Credit, Risk Management, Contract Management, Customer Services, Fulfillment and Operations;
  • Reviewing and advising on marketing materials, publications, and other communications for internal and external use and distribution;
  • liaising with the Litigation group as needed to address disputes and litigation matters involving clients and vendors as well as internal investigations;
  • Acting as strategic partner to the business; and
  • Sharing know-how with other members of the APAC Legal and the Global GTS Legal Teams.

Required Skills

Global Corporate and Investment Bank Lending

  • Admission in practice in law preferably in India, the UK/AUS/US or other common law jurisdiction with at least 8-10 years PQE.
  • Business-level fluency in English (written and spoken) to communicate effectively with both stakeholders and regulators.
  • In-depth understanding of and sufficient work experience in the Indian lending and credit market, both syndicated and bilateral, M&A financing structures, collateral and security packages and Indian qualification or familiarity with legal & regulatory issues in the Indian loan market.
  • Experience in the wider APAC lending and credit market (including Australia and Japan).
  • Understanding of certain US, EU and UK regulatory regimes (Dodd Frank Act, Volcker Rule, Reg W, GDPR etc.) is a plus.
  • Strong interpersonal and socializing skill with team-work oriented mindset.
  • Excellent judgement.
  • Ability to respond quickly, think flexibly and practically and proactively suggest solutions to achieve business aims.
  • Excellent and succinct legal writing and communication skills.
  • Solid understanding of business practice and industry custom.
  • Willingness to work as a member of global team and curiosity about changing financial practice and environment.

Global Transaction Services

  • Experience in the financial services industry, including the cash management business, trade services, trade finance, corporate credit cards and/or banknotes;
  • Extensive exposure to application of banking laws, rules and regulations and how such LRR impact GTS services in India.
  • The ability to communicate clearly, both verbally and in writing, in English at all levels within the organization, including being able to make and communicate difficult decisions to appropriate persons within the organization.  Verbal and written knowledge of other Asian languages considered a plus.
  • Strong work ethic and self-initiative, with the ability to manage a high volume of work in a fast-paced and changing environment.
  • The ability to effectively balance risk and reward and to be a strategic partner with clients to help them achieve their business objectives with an appropriate risk/reward balance.
  • Strong interpersonal skills with the ability to work well as part of a team with other lawyers (both internal and external), clients, and other risk and business support partners.
  • Strong organizational, drafting and negotiation skills.
