RESPONSIBILITIES:

  • Draft and negotiate engagement letters, confidentiality agreements and other documents related to investment banking transactions.

  • Assist in the preparation of fairness opinions, including providing industry expertise and guidance on the selection of appropriate comparable companies and comparable acquisitions.

  • Attend and oversee non-deal roadshows and IPO roadshows with prospective equity and debt investors.

  • Lead internal transaction and capital commitment committee processes such as Fairness Committee, Equity Commitment Committee and Leveraged Finance Committee.

  • Prepare marketing materials and registration documents for M&A and capital markets transactions, including providing final approval of these materials for the bank.

  • Execute investment banking transactions and processes in a global firm environment, including M&A and capital markets products.

  • Prepare materials for c-suite management teams, board of directors, and other client executives and participate and lead client meetings throughout deal origination and execution.

  • Prepare financial analysis, including detailed valuation, LBO, discounted cash flow, accretion and dilution, IPO pro forma, comparative company, and sum of parts analyses.

  • Conduct due diligence in connection with equity and debt financings, M&A, restructurings, minority investments, and other investment banking transactions.

REQUIRED SKILLS & EXPERIENCE:

  • Master's degree or equivalent in Business Administration, Management, Finance, Economics, or related; and

  • 5 years of experience in the job offered or a related finance occupation.

  • Must include 5 years of experience in each of the following:

  • Executing investment banking transactions and processes in a global firm environment, including M&A and capital markets products;

  • Preparing materials for c-suite management teams, board of directors, and other client executives and participating and leading client meetings throughout deal origination and execution;

  • Preparing financial analysis, including detailed valuation, LBO, discounted cash flow, accretion and dilution, IPO pro forma, comparative company, and sum of parts analyses; and,

  • Conducting due diligence in connection with equity and debt financings, M&A, restructurings, minority investments, and other investment banking transactions.

  • In the alternative, the employer will accept a Bachelor’s degree and 7 years of progressively responsible experience.

  • 40% domestic, 10% international travel, as necessary.

New York pay range:

$350,000 - $350,000 annualized salary, offers to be determined based on experience, education and skill set.

Discretionary incentive eligible
