Vice President/Director, Assistant General Counsel, Equities Legal Team, Asia Legal Department

Your background

  • Mid-level lawyer admitted to practice in PRC and ideally also Hong Kong (or in another common law jurisdiction) with at least 4+ years PQE.
  • Working knowledge of PRC laws, regulations and transactions related to investment banking (preferably Equities products/QFII matters or more generally Global Markets businesses) either through private practice advisory work, secondment or in-house legal department.
  • Prior regulatory interactions with CSRC and other PRC regulators, participation in industry working groups, and prior interactions with PRC market participants and intermediaries (eg brokers/custodians), relating to such products.
  • Experience of legal advisory work on non PRC Equity products/markets, other Global Markets businesses and/or Research is helpful.
  • Strong interpersonal and social skills with team-work oriented mindset is a must.
  • Ability to think critically and flexibly, and proactively suggest solutions to achieve the relevant business goals.
  • Excellent research and legal writing skills.
  • Willingness to work as a member of a local, regional and global team and strong curiosity in developments/changes in financial practice and environment.
  • Mandarin and English language skills are mandatory to be able to read and draft contracts.

What you can expect

The Attorney is a member of the Asia Pacific Legal Department.  The role will involve providing legal analysis and advice to the Equities business (and various support functions) in the Asia Pacific region, which may include OTC equity swaps & derivatives, structured products, cash equities, ETFs, securities lending and prime brokerage.

The role is located in Hong Kong, however, the candidate should be open to mobility if the business requirements evolve.

What you will do

  • Utilise your PRC expertise to provide legal analysis and advice in relation to a range of products conducted by the Equities business which may include OTC equity swaps & derivatives, structured products, cash equities, ETFs, securities lending and prime brokerage.
  • Advising on these matters and products as they relate to non PRC issues/markets.
  • Developing and managing templates for PRC and non PRC Equity products.
  • Evaluating and advising on various new proposals, projects and initiatives relating to the Equities business.
  • Representing Bank of America on relevant industry working groups.
  • Reviewing and remediating existing documents and templates in connection with regulatory reform projects.
  • Engaging and managing external counsel in various jurisdictions to obtain quality advice concerning a range of regulatory issues (including licensing issues).
  • Fielding enquiries arising from various Equities sales & trading desks.
  • Working with other members of the Equities Legal team and other legal teams across Asia Pacific, EMEA and the US.
  • Assisting with broader Legal department projects, as required.
  • Working with Compliance, Operations, Risk and other departments to ensure proper risk management, governance and control of business units, and assisting with any regulatory enquiries that may arise.
