Job Rationale:

Equity Derivatives structured business has grown substantially in revenues, to ~$300m, as well as in front line (Sales, Structuring, & Trading) resources, but not in Legal resources.  There are roughly 3 Legal resources with an understanding of the structured businesses, but they no longer have the bandwidth to look at everything in the front to back model where Legal guidance is requested.  With the upside potential of ~$70m in revenues in 2022, there will be more effort requiring Legal investigation and review, partnering with the Sales, Structuring, and Trading teams.  There is a need to hire a Legal resource who has significant experience in a Legal / Senior Counsel capacity.  The role will be a MD role, with the individual taking lead on documentation & licensing negotiations, rulebooks, regulatory efforts with legal considerations, and represent BofA on Industry working groups for structured derivatives teams.  Given the areas of focus of the role, it is important that the candidate have a JD and ideally has worked in financial services with a Broker/Dealer with significant experience with OTC equity derivatives.

Position reporting to the Head of Equity Derivatives Structured Sales. This individual will partner closely with the Equity Derivatives Sales, Structuring, and Trading teams in delivering strategic initiatives and efforts related to documentation & licensing negotiations, rulebooks, regulatory efforts with legal considerations, and represent BofA on Industry working groups for structured derivatives teams. 

The candidate will need to have an understanding of the Equity Derivatives Sales and Trading business.  Need to have significant experience in a Legal / Senior Counsel capacity.  Given the areas of focus of the role, it is important that the candidate have a JD and ideally has worked in financial services with a Broker/Dealer with significant experience with OTC equity derivatives.  The candidate will have the ability to work with various internal departments of the Firm, including Legal and Compliance, and the focus and objectives of the role will require the candidate to partner and engage with members of the Equity Derivatives Legal Department.  This will be a hands-on role that will require the candidate to both have views and provide guidance on ways for structured derivatives businesses to proceed on new initiatives and future efforts.

Key areas of focus and objectives of the role:

  • Negotiation of Index Licensing Agreements, Dealer Agreements, Pricing Agreements, and other framework documents
  • Options exchange data licensing agreements and other licensing arrangements
  • Represent and speak on behalf of BofA Equity Derivatives structured derivatives businesses on industry working groups
  • Implement new procedures and committee structures as necessary in-line with the BofA Equity Derivatives Governance framework
  • Lead the response to new regulatory (e.g. LIBOR transition & Reg BI) and legal requirements on the BofA Equity Derivatives structured derivatives businesses
  • Reviews of index descriptions, marketing materials, fact sheets, reference guides, product supplements, media and press releases
  • Provide guidance on engagement with new clients, products, and transactions structures
  • Be able to multi-task and handle complex ad-hoc requests that arise in Broker/Dealer trading floor roles
  • Obtain FINRA series 7 and 63 licenses, and others as required within the role
