Commercial Real Estate Banking Paralegal

Job Description:

Assists attorneys in providing advice and service to Commercial Real Estate Banking (“CREB”) and Community Development Bank (“CDB”) businesses in the areas of construction and term lending, affordable housing CDB bond transactions, CDB debt and equity, loan syndication, loan administration, workouts, and remedies.  Performs highest level of substantive legal-based services; uses advanced skills developed through substantial experience in commercial real estate finance and is a relied upon resource for complex matters.  Regularly uses discretion and independent judgment in matters of consequence to the bank and its clients.  Interacts with Outside Counsel and Line of Business clients.  Recognized as a commercial real estate subject matter expert within their practice group.  Utilizes working knowledge of corporate laws and structures including limited partnerships/limited liability companies, commercial lending/leasing, and real estate, to provide day to day support to the bank's CREB group and CDB group.

Reviews and prepares transactional documents, including credit agreements, amendments, forbearance and settlement agreements, mortgage and lien related documents.  Reviews title reports and organizational and authorization documents.

Maintains and manages CREB/CDB loan forms.

Handles all regulatory reporting of CDB equity investments.

Prepares responses to discovery, subpoenas, and other requests for information.

REQUIRED SKILLS:

  • Strong understanding of real estate transactional documentation and corporate structures.
  • Experience drafting and negotiating commercial real estate loan documents.
  • Strong written and verbal communication and interpersonal skills with the ability to develop working relations with the business units supported.
  • Ability to logically reason through issues, multitask and balance workload based on priorities, including ability to keep pace with deal flow and deadlines.
  • Ability to work independently with minimal supervision.
  • Four year degree or paralegal degree/certificate or relevant business experience.
  • Experience with working with large volume of documents, especially with discovery requests and responses.
  • Proficient in Word, Excel and PowerPoint.
