Product Specialist III

Job Description:

The Investment Products teams within Global Wealth and Investment Management (GWIM) is responsible for sourcing and managing an industry leading set of investment products, platforms and capabilities across a spectrum of client wealth and service channels. 

The Capital Markets Private Company Origination / Due Diligence Specialist role will drive a new program to offer private company shares to GWIM UHNW clients.  The program is a critical differentiator for GWIM and is expected to play a key role in ongoing client acquisition for UHNW clients by leveraging enterprise capabilities in the private markets.

In this new program, the Origination / Due Diligence Specialist will drive success in a number of ways:

  • On an offering by offering basis, interface with counterparts from Global Banking and Markets Equity Capital Markets (ECM) group to identify private placements that will be attractive to GWIM clients
  • Participates in the appropriate GCIB Capital Commitments Committee to review and approve the transaction, with a focus on evaluating and challenging due diligence performed by GCIB.
  • Ensures that accounting, business, and financial due diligence is satisfactorily performed by GCIB personnel, and that issues are adequately disclosed and escalated as necessary to the business head/control partners.
  • Coordinate with GCIB Legal to ensure that the firm is receiving appropriate documentation in connection with an offering (10b-5 opinions, comfort letters, officer's certificates, etc.)
  • Ensures the issuer is compliant with bank policies (e.g., AML, USA Patriot Act, OFAC sanctions, etc), and that transactions have been cleared by Business Selection & Conflicts.
  • In conjunction with GWIM LOB, ensures that offerings are compliant with all GWIM structural and offering guidelines.
  • Evaluate suitability and risks of offerings, and execute the GWIM governance process to ensure necessary product approvals prior making the offering available to GWIM clients
  • Interface directly with UHNW clients around deal questions, private market general color, and client preferences around sectors, structure, and other investment characteristics
  • Implement effective ongoing routines to support the overall program through marketing, branding, and client and advisor education opportunities
  • Collaborate with control partners (Legal/Risk/Compliance/Governance) to address supervisory and regulatory responsibilities, and proactively manage risks

Qualifications

Candidates for the role should possess:

  • 5 years+ of business experience within a Capital Markets, Investment Banking or Institutional Investing role
  • Interest in and passion for the private markets
  • Extensive knowledge and/or experience in investment banking; full breadth of financing experience (equity, equity-linked, debt) preferred
  • Experience with evaluating valuation models, including comparable company analysis, precedent transaction analysis, and discounted cash flow analysis.
  • Thoroughly versed in evaluating accounting, financial, and business due diligence.
  • Professional maturity and experience to interact directly with senior GCIB and GWIM colleagues.
  • Strong quantitative/analytical skills
  • Strategic and creative thinking; distinguished written and oral communications skills.
  • Strong capabilities in navigating a deal process with multiple constraints and sensitivities
  • Appreciation for many different types of risk, including communicating sensitive information, interacting with top clients of the firm, and legal/compliance issues in securities offerings
  • Keen insight into what deal characteristics are appropriate for wealth management clients
  • Resourcefulness and ability to adapt to situations with unknowns, but still be able to drive progress
  • Series 7
  • Series 63 and/or 79 within 120 days
