
Job Description:
The candidate will advise investment bankers on matters relating to the firm's mergers and acquisition financial advisory business; assist the firm's business selection and conflicts team identify, assess and manage potential conflicts of interest; and participate in various investment banking and enterprise wide projects and initiatives.
Specific Responsibilities Include:
Advising investment bankers on transactional, securities and regulatory issues, as well as current trends and practices in M&A
Negotiating and drafting engagement letters and confidentiality agreements
Preparing material relationships disclosure memos
Preparing and/or reviewing fairness opinions, banker books and proxy disclosure
Liaising with other businesses, internal control and administrative functions and internal and external lawyers, as appropriate
Required Skills & Experiences:
5+ years at a "bulge bracket" law firm (or in-house at investment bank) with significant experience advising on and executing mergers and acquisitions transactions.
Excellent interpersonal skills - needs to be able to communicate effectively with investment bankers and colleagues
Sound judgement - needs to be able to measure risk/reward in a practical yet sound manner

Experience representing financial advisors in connection with public mergers and acquisitions transactions
Prior in-house investment banking M&A experience
MBA/background in corporate valuation
Proficiency in Spanish
Familiarity with lending and syndicated finance
