Position Description

The successful candidate will be invited to join the Legal Department of Bank of America Securities (BofA or the Firm) as a member of the team covering the investment bank in Japan.  This is a unique and rare opportunity to join one of the world’s leading financial institutions supporting its Japanese capital markets and investment banking businesses.  BofA’s serves clients around the world and across all major industries, offering customized solutions to help clients fulfill their strategic goals, across a range of financial products and services such as mergers and acquisitions to initial public offerings and debt offerings.

Key Responsibilities:

The candidate will assist bankers in structuring and executing corporate transactions, participate in developing policies, procedures and standardized documentation for the Firm, monitor and advise the Firm and management on regulatory developments and new products or trends in the market, develop training opportunities for bankers and participate in internal review committees.    

This lawyer’s scope of work will include assisting bankers with client negotiations and documentation requirements, providing sophisticated and practical risk-appropriate advice and liaising with other businesses, internal control and administrative functions and internal and external lawyers, as appropriate. The lawyer will be based in Tokyo.

A general overview of the types of transactions the candidate will cover include:

  • Equity Capital Markets: initial public offerings of equity and other equity offerings, including, follow on, depositary receipt and private placements of, in ease case, equity and equity linked instruments.

  • Debt Capital Markets: (i) standalone bond offerings involving the Firm as underwriter typically involving international sales under Reg S and/or Rule 144A; (ii) MTN programmes (origination, updates and drawdowns), (iii) liability management transactions, and (iv) debt private placements.

  •  M&A Financial Advisory Services (to a lesser extent): financial advisory services on public and private M&A transactions. 

Responsibilities will include:

  • Assisting in the preparation, review and negotiation of transaction related documentation including, confidentiality agreements, underwriting agreements, opinions, comfort letters and  engagement letters;

  • Advising and assisting bankers on diligence and disclosure matters on capital markets  transactions;

  • Coordinating and responding to queries from bankers and other administrative and control functions on legal matters relating to or arising out of the investment banking business and international transactions;

  • Along with compliance, providing guidance on the interpretation and implementation of laws and regulations and Firm policies, procedures and guidelines;

  • Participating in developing and revising policies, procedures and standardized documentation for the Firm;

  • Identifying changes in regulations or market developments and updating the business and other functions;

  • Identifying and assisting in developing training opportunities for bankers;

  • Engaging and managing outside counsel, as necessary;

  • Liaising with the litigation and regulatory investigations team as needed to address investigations, disputes and litigation matters;

  • Sharing and assisting in the management of know-how with other members of the legal team in Asia and other regions;

  • Developing a relationship with bankers as a trusted strategic partner to the business; and

  • Providing sophisticated and practical advice to the business.

Key Requirements

  • Japan, US or English law qualified lawyer

  • Bachelors of Law (LLB), Masters of Law (LLM) or Doctors of Law (SJD or JD) from an internationally recognized law school or law faculty

  • At least 6 years PQE

  • English and Japanese spoken and written language skills to be able to interact with internal and external stakeholders

  • Experience with Japan related capital markets and M&A transactions

  • Knowledge of Japanese contract law and corporate and securities laws

  • Knowledge of United States securities laws and General principles of international law

  • Proficient in Word, Excel and PowerPoint

  • Must have a high moral character with confidence in his/her views and engage in constructive discussions to lead stakeholders to the right result for the Firm.

  • Ability to cut to the heart of a complex business or legal issue and identify legal, regulatory and reputational concerns; demonstrate deep/broad knowledge and understanding of legal and regulatory issues that impact corporate and investment banking transactions

  • Demonstrated ability to communicate crisply and candidly.

  • Comfortable working in a diverse and driven team of colleagues and clients; able to coordinate and act in concert with others to achieve common goals and objectives.

  • Takes ownership of his/her work, accepting responsibility for issues, projects and decisions; accepts accountability.

  • Demonstrated ability to motivate and lead colleagues and clients consistent with personal and company values. 

Desired skills

  • Experience in an International law firm in the area of international corporate transactions.

  • In-house experience with an international financial services company covering investment banking transactions.
