A position has become available for an Attorney at VP level to join the wider Legal line of business in London. This role will provide line of business legal support to EMEA Leverage Finance High Yield Capital Markets which covers wide range of sectors, issuers and distribution jurisdictions and product types including secured and unsecured bonds. 

The successful candidate will also provide legal and transaction management support to EMEA Leveraged Finance business and review/drafting of supporting documentation, including engaging with external counsel, other bank counterparts and working with other lawyers in the group, as required.

Responsibilities:

The role will include the review and negotiation of a wide range of legal documentation associated with high yield capital markets products originated in EMEA DCM including secured and unsecured bond documentation, legal opinions and auditors comfort letters and review of legal documentation relating to best efforts and “certain funds” acquisition financing papers including highly interested and highly confident letters, commercial grids and commitment letters; working alongside other attorneys on significant transaction assignments and together with other support partners on providing guidance in relation to regulatory and internal policy matters. Other duties will include:

  • Opportunity to work on a range of transaction types and products across multiple jurisdictions.

  • Legal support for dynamic international business teams.

  • Individual responsibility with direct line of business contact.

  • Opportunity to work closely with the business, other bank counterparts, other attorneys and support partners on live transactions

  • Assisting and advising line of business with legal and regulatory queries and assisting with preparation of internal committee review and approvals. Management and coordination of work with external counsel and review and input of other syndicate banks

The Team:

The position will form part of the broader EMEA Debt Capital Markets Legal team of 12 lawyers, all based in London who provide legal and transaction execution support for the Investment Grade and High Yield Capital Markets business. The team is long established and highly regarded by front office business colleagues, clients, law firms and other market participants which has contributed to it being recognised for “best in house legal team” awards on various occasions.

The team works closely as support partners and trusted advisors to the business on a large variety of international cross border transactions for well-known clients in a dynamic and fast paced environment.

Core Skills:

  • New York and/or English (or equivalent) qualified Attorney with post qualification High Yield Capital Markets experience

  • Ability to review and negotiate standard bond documentation and acquisition financing papers and knowledge of industry e.g. AFME standard forms

  • Familiarity with relevant existing law and regulation affecting high yield capital markets

  • Confident interpersonal and transaction execution skills with ability to multi-task and work on cross-border transactions

  • Excellent organisational and data management skills

  • Some knowledge of loan financing and/or ESG matters would be helpful but not essential
